By accessing or using this website (“Website”), or by engaging M/s Tulshyan & Co., Chartered Accountants (“the Firm”, “we”, “us”, “our”), having its office at Kaushalya Mata Vihar, Raipur, Chhattisgarh, for any professional service, you (“user”, “visitor”, “client”) agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, please discontinue use of the Website.

1. About the Firm

M/s Tulshyan & Co. is a Chartered Accountancy and Tax Consultancy firm registered with the Institute of Chartered Accountants of India (ICAI), providing services in the areas of Income Tax, Goods and Services Tax (GST), Audit and Assurance, Accounting, Company and LLP compliance, and related advisory services.

3. No Client Relationship Created by Website Use

Browsing the Website, submitting an enquiry form, or downloading any tool, calculator or template made available on the Website does not, by itself, create a professional-client relationship between the user and the Firm. Such a relationship is established only upon the Firm’s written acceptance of an engagement, typically through a signed engagement letter or a specific written confirmation issued by the Firm.

4. Client Responsibilities

Where a professional-client relationship is established, the client agrees to furnish accurate, complete and timely information and documents required for the assignment. The client acknowledges that the Firm shall be entitled to rely on such information in good faith, without independent verification, unless the Firm has been specifically engaged to conduct an audit, verification, or due diligence exercise.

5. Fees and Payment

Professional fees for any assignment shall be as mutually agreed between the Firm and the client, and are generally recorded in the relevant engagement letter or fee quotation. Delayed payment may attract late fees or interest as communicated separately, and the Firm reserves the right to suspend or discontinue services in the event of non-payment of outstanding fees, subject to applicable professional and regulatory requirements.

6. Confidentiality and Use of Data

Any personal or business information, KYC documents (such as PAN, Aadhaar, GST registration details, financial statements and bank details), or other data furnished to the Firm shall be used solely for the purpose of rendering the engaged services, and stored, in physical and/or electronic/cloud form, with reasonable security measures. Such information shall not be shared with any third party, except:

  1. where necessary for statutory filings or compliance undertaken on the client’s behalf;
  2. where required by law or by direction of a regulatory or judicial authority; or
  3. with the client’s prior consent.

7. Standard of Care and Disclaimer

All services rendered by the Firm are performed with due professional care, skill and diligence expected of a Chartered Accountant firm, in accordance with the applicable Standards, Guidance Notes and Pronouncements issued by the Institute of Chartered Accountants of India, and in compliance with applicable law. However, no professional service can be guaranteed to be 100% (hundred percent) free from error, given the inherent involvement of human judgment, reliance on data and information furnished by clients and third parties, interpretation of complex and frequently amended statutory provisions, and the limitations of manual and system-based processes.

8. Limitation of Liability

Notwithstanding anything to the contrary, the Firm’s aggregate financial liability, whether arising in contract, tort or otherwise, in respect of any particular assignment, shall in no event exceed two (2) times the professional fees actually paid by the client to the Firm for that specific assignment. This limitation of liability shall not apply in cases of proven gross negligence, wilful misconduct or fraud on the part of the Firm, established as such by a competent authority or court.

9. Intellectual Property

All content on the Website, including text, graphics, logos, tools, calculators and templates, is the property of the Firm or its licensors and is protected under applicable intellectual property law. No part of the Website may be reproduced, distributed, or used for commercial purposes without the Firm’s prior written consent, save for personal, non-commercial reference.
